Terms of Service

01.Scope of Work & Engineering Scoping

These Terms of Service ("Terms") govern the engineering, architectural consulting, and software development services provided by Vorpent Tech ("Vorpent") to our clients ("Client"). Each project is executed under a detailed Statement of Work (SOW) that specifies technical architecture, deliverables, sprint milestones, and pricing.

Any material modifications to the architectural scope during active development are documented and confirmed via mutual written change orders to maintain predictable timelines.

02.Intellectual Property Assignment

Upon full settlement of agreed milestone invoices, Vorpent hereby irrevocably assigns, transfers, and conveys to the Client all right, title, and interest in and to all deliverables, custom code, schemas, architecture blueprints, and documentation created specifically for the Client.

Third-party open source packages (e.g. Next.js, PostgreSQL, Linux kernel libraries) incorporated into deliverables remain governed by their respective standard open-source licenses (MIT, Apache 2.0, BSD).

03.Delivery Cadence & Staging Telemetry

Vorpent provides continuous delivery telemetry. Throughout the development lifecycle:

• Clients receive live access to password-protected staging environments reflecting the latest build.
• Weekly recorded video walkthroughs or live engineering synchronization checkpoints are provided every Friday.
• Pull requests and commit logs are accessible to the Client's authorized technical representatives.

04.Acceptance & 30-Day Bug Warranty

Upon milestone delivery, the Client has a 10-business-day acceptance review period to test deliverables against the specifications defined in the SOW.

Following final production handover, Vorpent provides a 30-day warranty period during which we resolve any critical defects, regressions, or deviations from the agreed specifications at zero additional cost.

05.Payment Terms & Invoicing

All projects operate on fixed milestone pricing or retainer schedules as outlined in the SOW. Invoices are payable via wire transfer or credit card within 14 calendar days of issuance.

06.Confidentiality & Non-Disclosure

Both parties agree to hold all proprietary business information, technical credentials, source code, and commercial data in strict confidence. This obligation survives termination of the agreement indefinitely. We do not publicize our work without explicit written consent.

07.Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, or consequential damages. Vorpent's aggregate liability under any engagement is limited to the total fees actually paid by the Client under the relevant Statement of Work.
